Terms of Service

1. Services

Oakview IT Solutions LLC ("Oakview IT," "we," "us") provides information technology consulting, web development, hosting, infrastructure, and related services as described in individual statements of work (SOW) or service agreements between Oakview IT and the client ("you").

2. Engagement Terms

All project engagements are governed by a statement of work that outlines scope, deliverables, timelines, and pricing. Work outside the agreed scope requires a separate agreement or change order. We reserve the right to decline work at our discretion.

3. Payment

Payment terms are specified in each statement of work or invoice. Unless otherwise stated, invoices are due within 15 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for overdue accounts.

4. Hosting & Managed Services

Managed hosting and subscription services are billed monthly or annually as specified. We make reasonable efforts to maintain uptime and security but do not guarantee uninterrupted service. We are not liable for downtime caused by third-party providers, force majeure, or client actions.

5. Intellectual Property

Upon full payment, clients receive ownership of custom work product created specifically for them (websites, applications, designs). We retain the right to use general-purpose tools, frameworks, and code libraries across engagements. Third-party licenses (fonts, images, software) remain subject to their respective terms.

6. Limitation of Liability

Oakview IT is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim is limited to the amount paid by the client for the specific service giving rise to the claim in the 12 months preceding the event.

7. Termination

Either party may terminate an ongoing service agreement with 30 days written notice. Project-based engagements are governed by the terms in their respective SOW. Upon termination, we will provide reasonable assistance in transitioning services and data to the client or a new provider.

8. Governing Law

These terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of Erie County, New York.
